Welcome to Aether. These Terms of Service ("Terms") govern your use of Cleo, Halo, and other products and services provided by Aether Health Solutions Inc. ("Aether," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, installing our browser extension, or otherwise accessing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.
2. Description of Services
Aether provides AI-powered clinical workflow tools, including:
- Cleo: A browser extension that provides context-aware intelligence for clinical workflows, integrating with Electronic Health Record (EHR) systems.
- Cleo Hub: A web-based dashboard for managing patient data and clinical workflows.
- Halo: A patient-facing application for unified medical history access.
3. Eligibility
Our services are intended for use by licensed healthcare professionals and authorized healthcare organizations. By using our services, you represent that you:
- Are at least 18 years of age
- Have the legal authority to enter into these Terms
- Are a licensed healthcare professional or authorized representative of a healthcare organization (for Cleo and Cleo Hub)
- Will use our services in compliance with all applicable laws and regulations
4. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
5. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose
- Access patient data without proper authorization
- Attempt to circumvent security measures
- Interfere with or disrupt our services
- Reverse engineer or decompile our software
- Share your account credentials with others
- Use our services in a manner that violates HIPAA or other healthcare regulations
6. Healthcare Disclaimer
Cleo is a clinical decision support tool, not a substitute for professional medical judgment.
- All clinical decisions remain the responsibility of the treating healthcare provider
- Our AI-generated suggestions should be verified before acting upon them
- We do not provide medical diagnoses or treatment recommendations
- You should not rely solely on our services for patient care decisions
7. Data and Privacy
Your use of our services is also governed by our Privacy Policy. By using our services, you consent to our collection and use of information as described in the Privacy Policy.
7.1 Protected Health Information (PHI)
If you use our services in connection with PHI, you agree to:
- Comply with all applicable HIPAA requirements
- Enter into a Business Associate Agreement (BAA) with us if required
- Ensure proper authorization before sharing patient data
8. Intellectual Property
All content, features, and functionality of our services are owned by Aether and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our content without prior written consent.
9. Third-Party Integrations
Our services may integrate with third-party EHR systems and other healthcare platforms. We are not responsible for the availability, accuracy, or functionality of these third-party services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AETHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF OUR SERVICES.
Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Aether, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.
12. Termination
We may suspend or terminate your access to our services at any time for violation of these Terms or for any other reason. Upon termination, your right to use our services will immediately cease.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or through other communications. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
